Exchange billing & payouts

This page covers the money side of the Exchange — how buyers are charged, how sellers receive payouts, refund policy, and tax handling.

Buyer billing

Purchases route through your organization's billing — same payment method as your bRRAIn subscription. They appear on the same monthly invoice as your other charges.

Pricing models

  • One-time — single charge at purchase.
  • Annual subscription — recurring annual charge with auto-renew.
  • Metered usage — usage-based; appears on monthly invoice with item-level detail.

Receipt

Every purchase generates a receipt emailed to your billing contact and downloadable from Console → Billing → Invoices.

Tax

Calculated automatically by jurisdiction. VAT, GST, and sales tax line items appear on the invoice.

Refunds

Our default refund policy:

  • Free items — no refund needed.
  • One-time paid items — refund available within 14 days of purchase if the item hasn't been ingested into your organization OR if the item materially differs from its listing.
  • Annual subscriptions — full refund within 14 days; pro-rated refund within 30 days; no refund after 30 days.
  • Metered usage — refund only for billing errors.

Some sellers offer extended refund terms (visible on the listing). Contact the seller first; if unresolved, escalate to billing@brrain.io.

Seller payouts

Revenue share

bRRAIn retains the rest. Payment-processor fees come out of the bRRAIn share — sellers see 70% (or 80%) of gross.

Payout schedule

  • Net-30. Earnings from May invoices pay out at the end of June.
  • Minimum payout threshold: $100 USD equivalent. Earnings below threshold roll forward.
  • Payouts trigger automatically when the threshold is met.

Payout methods

  • ACH (US bank accounts) — free.
  • SEPA (EU SEPA-zone bank accounts) — free.
  • Wire (other regions) — fees deducted at issuance.
  • Stripe Connect — fastest (typically next business day after the net-30 cycle).

You set the method during seller onboarding. Change at any time from the seller portal.

Payout reporting

Each payout is itemized:

  • Per-listing earnings.
  • Refunds and disputes that reduced earnings.
  • Currency conversion (if applicable).
  • Tax withholding (if applicable).

Available as PDF and CSV.

Tax for sellers

We handle:

  • Collecting and remitting VAT / GST / sales tax on end-customer charges where required.
  • Issuing 1099-K (US sellers earning over the IRS threshold) or 1099-NEC.
  • Year-end earnings statements for non-US sellers.

You're responsible for income tax in your jurisdiction.

Disputed transactions

If a buyer disputes a charge through their bank or payment processor, we work with both sides to resolve:

  • We pause the disputed transaction's payout pending resolution.
  • We typically request the seller's response within 7 days.
  • Final outcome (won or lost) is reflected in the next payout cycle.

Excessive dispute rates may trigger a seller review.

License enforcement

Exchange licenses are enforced through:

  • Per-organization activation tied to the purchasing org's identity.
  • License files cryptographically signed and bound to the org.
  • Periodic license validation against our license server.

License violations (unauthorized redistribution, multi-org use beyond purchase scope) may trigger seller-initiated enforcement.
